These Terms and Conditions ("Agreement") govern your use of Stocklink LLC's auction platform and related services. By accessing or using our services, you agree to be bound by this Agreement. If you do not agree, do not use our services.

1. AGREEMENT AND SCOPE

This Terms and Conditions Agreement (“Agreement”) constitutes a legally binding contract between the user (“you” or “User”) and Stocklink LLC, an Oklahoma limited liability company (“Stocklink,” “we,” “us,” or “our”). This Agreement governs your access to and use of Stocklink’s digital marketplace platform, including its website, mobile applications, listing and messaging features, livestock sale tools, and any other online services offered by Stocklink (collectively, the “Services”).

By accessing, browsing, registering for, or otherwise using the Services, including listing livestock or related property for sale, communicating with other users, or arranging the purchase or sale of livestock, you acknowledge that you have read, understood, and agree to be bound by this Agreement, as well as any additional rules, policies, or terms posted on the platform.

You further agree that:

  • Your use of the Services shall be solely for lawful purposes and in accordance with this Agreement and all applicable laws and regulations;
  • Stocklink may update, modify, or terminate this Agreement at any time by posting revised terms on the platform. Continued use of the Services after such posting constitutes your acceptance of the updated Agreement;
  • This Agreement applies to all users of the Services, including without limitation buyers, sellers, agents, brokers, consignors, and authorized representatives;
  • This Agreement supplements, and does not override, any specific terms posted in individual listings, categories, or community guidelines;
  • Stocklink operates solely as a neutral online service provider facilitating livestock listings, user communication, and transactional connections. Stocklink does not act as an agent, broker, or intermediary for any user, does not take title to livestock, and does not guarantee the condition, delivery, or legal compliance of any livestock or transaction.

By using the Services, you represent that you are authorized to enter into this Agreement and agree to comply with its terms and any additional guidelines applicable to your activity on the platform.

2. ELIGIBILITY AND REGISTRATION

To access or use any portion of the Services offered by Stocklink, including listing, browsing, communicating about, or purchasing livestock or related goods, you must be at least eighteen (18) years of age, possess the legal capacity to enter into binding contracts, and not be barred from using the Services under any applicable law. By creating an account or otherwise engaging with Stocklink’s online platform, you represent and warrant that you meet these eligibility requirements.

Account Creation and Responsibilities

To access key features of the Services, including posting livestock listings, sending inquiries, or initiating purchases, you must complete a registration process, which includes providing accurate and complete contact, payment, and identification information. You agree to:

  • Maintain the confidentiality and security of your login credentials;
  • Promptly update your account if any information becomes inaccurate or outdated;
  • Be fully responsible for all activity conducted under your account, whether or not authorized by you;
  • Notify Stocklink immediately if you suspect unauthorized access or use of your account.

Verification and Approval

Stocklink may, at its discretion, require verification of your identity, business affiliation, livestock purchasing or selling history, or other eligibility criteria before allowing full access to the platform or certain marketplace features. Stocklink reserves the right to reject or revoke account access, suspend activity, or terminate Services at any time and for any reason, with or without notice, including but not limited to:

  • Submission of inaccurate, incomplete, or misleading information during registration;
  • Violation of these Terms or platform policies;
  • Conduct deemed harmful to the platform, its users, or marketplace integrity.

Entity Accounts

If you are registering or acting on behalf of a business entity (such as a farm, ranch, cooperative, or brokerage), you represent and warrant that you have the legal authority to bind that entity to this Agreement. All references to “you” shall include both the individual user and the entity they represent. You remain responsible for all actions taken through the account.

Right to Deny or Limit Access

Stocklink reserves the right to deny or limit access to any user or entity, restrict account privileges, or remove access to certain Services for any reason, including but not limited to a history of non-payment, abusive conduct, fraudulent listings, or activity inconsistent with Stocklink’s standards of trust and marketplace integrity.

3. USER RESPONSIBILITIES

By using the Services provided by Stocklink, you agree to accept full responsibility for your conduct on the platform, for maintaining the security of your account, and for complying with all applicable laws, regulations, and platform-specific terms and conditions.

Account Security

You are solely responsible for maintaining the confidentiality and integrity of your login credentials, including your username and password. You agree not to share your credentials with any third party and to take reasonable precautions to prevent unauthorized access to your account. You are fully responsible for all activity conducted through your account, including listings, messages, offers, or purchases, whether or not authorized by you.

If you become aware of any unauthorized access or use of your account, or any breach of platform security, you must notify Stocklink immediately using the contact information provided on our website. Failure to do so may result in the suspension or termination of your account and potential liability for resulting losses or damages.

Compliance with Laws

You agree to comply with all applicable federal, state, and local laws, regulations, and industry standards in connection with your use of the Services, including but not limited to:

  • Livestock transport, animal identification, and health documentation requirements;
  • Brand inspection, proof of ownership, and lawful transfer regulations;
  • FMCSA and USDA rules applicable to livestock movement and shipping;
  • State and federal tax obligations related to livestock sales or purchases.

Prohibited Conduct

You agree that you will not:

  • Interfere with or disrupt the operation of the Stocklink platform or Services;
  • Use bots, automated scripts, scraping tools, or unauthorized data-mining software;
  • Misrepresent the breed, health, ownership, origin, or characteristics of any livestock;
  • Post false, misleading, or deceptive listings or content;
  • Use the platform for any unlawful, fraudulent, or harmful activities.

Representations

You represent and warrant that:

  • All livestock you list for sale through the platform are lawfully owned, accurately described, and meet applicable health and transport standards;
  • You are not subject to any restrictions or prohibitions that would prevent your use of the Services under applicable law;
  • Your use of the Services and any content you submit does not infringe upon the rights of any third party.

Consequences of Violation

Violation of these responsibilities may result in immediate suspension or termination of your account, removal of listings, restriction of access to the Services, and possible legal action. Stocklink reserves the right to cooperate fully with law enforcement, regulatory bodies, and other marketplaces in the investigation of suspected misconduct or legal violations.

4. LISTINGS, OFFERS, AND TRANSACTIONS

By using the Stocklink platform to list, browse, communicate about, or arrange the sale or purchase of livestock, you agree to abide by the platform’s policies, listing standards, and any specific terms associated with an individual livestock listing. Stocklink provides a digital environment for sellers to post livestock for sale and for buyers to contact sellers, negotiate, and complete transactions independently.

Nature of Listings and Offers

Each listing on the Stocklink platform constitutes an invitation to negotiate or make an offer, not a binding obligation. Users may initiate transactions by contacting sellers, submitting an offer, or otherwise agreeing to the terms specified in the listing. The formation of a binding contract for sale occurs directly between the buyer and seller and only upon mutual agreement, which may be confirmed through messages, email, or other written documentation between the parties.

Stocklink is not a party to these transactions and does not represent either side.

Seller Responsibilities for Listings

Sellers are solely responsible for ensuring that:

  • All listing information is accurate, complete, and current;
  • The livestock described are available for sale and meet any stated conditions;
  • Any terms related to price, pickup, health status, delivery expectations, or other requirements are clearly disclosed in the listing;
  • Communications with potential buyers are timely and truthful.

Buyer Responsibilities

Buyers are solely responsible for:

  • Reviewing all listing details and conducting any due diligence (including requesting health records, certifications, or ownership documentation) prior to agreeing to a purchase;
  • Communicating clearly and in good faith with sellers;
  • Honoring any purchase commitments made through the platform or other communications.

No Platform Involvement in Transaction Terms

Stocklink does not:

  • Set prices or facilitate negotiations;
  • Guarantee the accuracy of listings or communications;
  • Determine the outcome of any dispute between users;
  • Act as an escrow agent, title transfer intermediary, or payment processor unless explicitly agreed upon in writing.

Listing Errors and Removals

Stocklink may, at its discretion, remove or suspend listings that appear to be fraudulent, misleading, expired, or in violation of platform rules. However, Stocklink does not independently verify or validate each listing and does not guarantee its accuracy. Users are encouraged to report any suspicious or misleading listings to Stocklink support.

Direct User Agreements Govern Transactions

Each transaction on the Stocklink platform is governed solely by the agreement reached between the buyer and the seller. Any additional terms, including payment deadlines, delivery responsibilities, animal condition guarantees, or contingencies, must be addressed directly between the parties. Stocklink assumes no responsibility for enforcing, interpreting, or resolving disputes related to these private agreements.

5. BUYER OBLIGATIONS AND PAYMENT

When you agree to purchase livestock listed on the Stocklink platform, whether through direct communication, acceptance of posted terms, or execution of a written agreement with the seller, you are entering into a binding contract with the seller and agree to fulfill your payment and logistical obligations in accordance with the agreed-upon terms.

Payment Terms

Unless otherwise agreed in writing between buyer and seller, payment for livestock purchases is expected to be:

  • Completed within the time period specified in the listing or as communicated by the seller;
  • Made using a mutually accepted method, which may include wire transfer, certified check, ACH, or approved third-party payment service;
  • Made in full before possession or delivery of livestock.

Stocklink may provide tools or integrations for invoicing, but does not collect payment or act as an escrow agent unless separately and explicitly agreed to in writing.

Consequences of Nonpayment

Failure to remit full and timely payment may result in one or more of the following consequences, at the seller’s discretion:

  • Cancellation of the transaction and potential relisting of the livestock;
  • Forfeiture of any deposit or partial payment;
  • Assessment of late fees or interest, as allowed under applicable law;
  • Referral to legal counsel, collections, or livestock transaction enforcement channels;
  • Reporting of nonpayment behavior to relevant industry directories or platforms.

Delivery, Pickup, and Risk of Loss

Unless expressly stated otherwise in the listing or agreed between buyer and seller:

  • The buyer is solely responsible for arranging pickup, transport, and delivery of livestock;
  • The seller is responsible for making the livestock available for pickup in a timely manner and providing all required documentation for lawful transport;
  • Title to and risk of loss for the livestock passes to the buyer upon (i) physical possession by the buyer or buyer’s transport agent, or (ii) confirmation of pickup as documented by the seller, whichever occurs first;
  • The buyer assumes all responsibility for injury, illness, death, or regulatory issues arising after the point of possession or agreed-upon delivery.

Remedies for Breach

In the event a buyer fails to comply with the agreed-upon purchase terms, including payment, pickup, or regulatory compliance, the seller may:

  • Cancel the transaction and retain any partial payment or deposit;
  • Resell the livestock and seek reimbursement for any loss caused by the buyer’s default;
  • Seek damages, injunctive relief, or other remedies under applicable law.

Multiple Transactions and Payment Coordination

If you enter into multiple livestock purchases from the same seller, that seller may elect to consolidate your transactions into a single invoice or transport arrangement. However, each confirmed transaction constitutes a separate enforceable agreement, and failure to pay for one shall not excuse payment on the others.

No Offsets or Withholding

Buyers may not delay or withhold payment based on dissatisfaction with unrelated livestock, disputes with third parties, or claims arising from different transactions. All payment obligations are independent, and disputes must be resolved separately through direct negotiation or legal channels.

6. SELLER RESPONSIBILITIES

By listing livestock for sale through Stocklink’s online marketplace, you (“Seller”) agree to comply with all terms of this Agreement, as well as any platform guidelines, listing rules, or category-specific requirements. You represent and warrant that all livestock offered for sale:

  • Are lawfully owned by you or your principal;
  • Are accurately and truthfully described in the listing;
  • Will be delivered or made available to the buyer in the condition and quantity represented.

Accuracy of Listings

Sellers are solely responsible for ensuring the completeness and accuracy of all listing content, including:

  • Breed, age, weight, sex, pregnancy status, and origin;
  • Health certifications, vaccination history, and current condition;
  • Any history of disease, injury, or special handling needs;
  • Brand inspection or title documentation, if applicable.

Stocklink reserves the right to remove or request edits to listings that appear incomplete, deceptive, inconsistent with industry norms, or in violation of platform policies or applicable law.

Fulfillment and Delivery

Sellers must deliver (or make available for pickup) the specific livestock described in the listing. All animals must be in materially the same condition as represented at the time of sale. Sellers are responsible for:

  • Ensuring the livestock are fit for lawful transport and meet USDA/state-specific health requirements;
  • Providing any required paperwork, including veterinary certificates, brand inspections, or ownership transfer documentation;
  • Cooperating with the buyer to coordinate pickup or delivery logistics in a timely and professional manner.

Misrepresentation and Enforcement

In the event of a material misrepresentation or failure to deliver livestock as described, Stocklink may, at its sole discretion:

  • Remove the seller’s listings or suspend platform access;
  • Flag the incident for other users or restrict future listings;
  • Refer the matter to industry regulators, brand inspectors, or law enforcement;
  • Facilitate communication between buyer and seller to attempt resolution, but Stocklink does not serve as an arbitrator or enforce private contracts.

Health and Welfare Standards

Sellers must comply with all applicable animal health, welfare, and biosecurity regulations, including those issued by the USDA, state departments of agriculture, or livestock health boards. Stocklink may require proof of compliance or restrict listings by category, species, or jurisdiction to ensure marketplace safety and reliability.

Platform Oversight

Stocklink may review, remove, or modify listings at any time for quality control, regulatory compliance, or platform integrity. This includes removing content that appears misleading, duplicates another listing, contains unverified claims, or involves livestock not eligible for lawful sale.

Seller Indemnification

Seller agrees to indemnify, defend, and hold harmless Stocklink LLC and its affiliates, officers, directors, employees, agents, and contractors (the “Indemnified Parties”) from and against any and all losses, liabilities, claims, penalties, fines, expenses, and damages (including attorneys’ fees and enforcement costs) arising out of or related to:

  • Any violation of this Agreement by Seller;
  • Any misrepresentation, inaccuracy, or omission in the livestock listing;
  • Seller’s failure to lawfully deliver livestock as promised;
  • Breaches of applicable laws, including transport, health, or ownership regulations;
  • Third-party complaints, claims, or regulatory investigations resulting from Seller’s conduct;
  • Any financial or reputational harm caused to Stocklink by Seller-related disputes.

This indemnity obligation survives the removal of listings, completion of transactions, or deactivation of a Seller’s account and applies even if Stocklink is not a named party in a legal action but is nonetheless required to participate or respond.

7. TRANSFER OF OWNERSHIP AND RISK IN MARKETPLACE TRANSACTIONS

The transfer of ownership, risk of loss, and delivery responsibilities in each livestock transaction facilitated through the Stocklink platform are governed by this section, unless otherwise agreed in writing between the buyer and seller.

Transfer of Title

Legal title to the livestock passes from the seller to the buyer at the point agreed upon by the parties, which is typically:

  • Upon full payment of the agreed purchase price; or
  • Upon physical pickup or acceptance of the livestock by the buyer or their designated transport agent;

whichever occurs later, unless a different arrangement is explicitly stated in writing between the parties.

Stocklink does not serve as a party to the transaction and does not confirm or certify transfer of title. Buyers and sellers are encouraged to document their transaction terms and retain proof of payment and delivery.

Risk of Loss

Unless otherwise agreed:

  • Risk of loss, injury, illness, or death associated with the livestock transfers to the buyer when the buyer, or their authorized agent, takes physical possession of the livestock;
  • If the buyer fails to timely retrieve the livestock after reasonable notice, risk of loss may shift upon the expiration of a commercially reasonable pickup window as determined by the seller.

Shipping and Handling Responsibilities

Unless otherwise arranged between the parties:

  • The buyer is solely responsible for arranging and paying for livestock transportation, including all costs related to carriers, animal health documentation, permits, insurance, and legal compliance;
  • The seller is responsible for making the livestock available for pickup at the agreed-upon time and location, and for assisting with safe and reasonable loading;
  • If the buyer fails to pick up the livestock within the agreed window, the seller may assess holding fees, withdraw the sale, or resell the livestock at the buyer’s expense, provided advance notice is given.

Stocklink’s Role in Transport

Stocklink is not a transportation provider and assumes no responsibility for transport arrangements, performance, conditions, delays, injuries, or damages during transit. Stocklink does not act as a common carrier, broker, or agent for either party in connection with shipping livestock.

Optional Coordinated Transport

If Stocklink offers and the parties elect to utilize Stocklink’s transport coordination services, such arrangements will be governed by a separate written agreement outlining the scope of services, associated fees, and any applicable liability limitations. These arrangements do not alter the platform’s general role as a neutral service provider.

Inspection Upon Delivery

Buyers are responsible for:

  • Inspecting livestock promptly upon delivery or pickup;
  • Notifying the seller in writing of any material discrepancies in headcount, sex, or physical condition within twelve (12) hours of receipt;
  • Assuming full responsibility for the welfare, care, and compliance of the livestock upon possession.

Failure to notify the seller of discrepancies within the stated timeframe will constitute acceptance of the livestock “as delivered.”

8. TRANSPORTATION AND REGULATORY COMPLIANCE

In all livestock transactions arranged through the Stocklink marketplace, the buyer is primarily responsible for lawful, safe, and compliant transport of livestock. The seller is responsible for providing accurate, complete, and timely documentation required for transfer and transport from their jurisdiction. Stocklink does not act as a carrier, shipping agent, or regulatory intermediary unless expressly agreed to in writing under a separate services agreement.

Buyer Responsibilities – Transport and Destination Compliance

Buyers are solely responsible for:

  • Coordinating all transportation logistics, including hiring carriers, arranging pickup, and managing delivery;
  • Ensuring the livestock are transported in accordance with all applicable federal, state, and local regulations, including but not limited to:
    • USDA Animal and Plant Health Inspection Service (APHIS) regulations for interstate movement;
    • State-level health, brand inspection, quarantine, and livestock ID requirements;
    • Any import permits, entry requirements, or movement restrictions imposed by the destination jurisdiction;
  • Confirming with relevant authorities whether the livestock are eligible for entry into the receiving state or locality;
  • Bearing all risks, fines, delays, or denials that result from improper transport arrangements, incomplete documentation, or regulatory noncompliance.

Seller Responsibilities – State of Origin Compliance

Sellers are required to ensure that livestock are legally eligible for transfer and must furnish all documentation required under the laws of their state or territory, which may include:

  • Certificate of Veterinary Inspection (CVI or health certificate);
  • Brand inspection certificates, ownership affidavits, or title documentation;
  • Required disease testing (e.g., Tuberculosis, Brucellosis, Trichomoniasis);
  • Valid USDA-compliant animal identification (e.g., e-tags or premise ID numbers);
  • Disclosure of any known or suspected animal health issues, recent exposures, or biosecurity risks that may affect legal transport or marketability.

Sellers must also communicate any special handling requirements necessary to ensure the welfare of the animals during transit.

Stocklink’s Role and Limitations

Unless explicitly agreed to in writing:

  • Stocklink does not review, verify, or file livestock health certifications, brand documents, or compliance materials;
  • Stocklink does not coordinate transport logistics, interact with government or veterinary authorities, or assume responsibility for shipment execution;
  • Stocklink is not liable for transport delays, denied entry, animal injury or death during transit, or fines arising from buyer or seller noncompliance.

Stocklink acts solely as a digital service provider enabling users to list and connect; all regulatory obligations and shipping responsibilities lie with the transaction parties.

Health Status Disclosures

Sellers must disclose in advance any known or reasonably suspected health conditions that could impact the sale, transport, or marketability of livestock. Failure to do so may result in suspension from the platform, buyer refund rights, or other consequences, including legal remedies pursued by affected parties.

Dispute Resolution Protocol – Transport and Documentation Issues

If a buyer believes there has been a failure to provide necessary documentation or identifies a material health or compliance issue upon pickup or delivery, they must notify the seller, and may also notify Stocklink, in writing within forty-eight (48) hours of the scheduled transfer time.

While Stocklink may, at its discretion, assist with communications between the parties, it does not serve as an arbitrator, legal decision-maker, or enforcement authority unless separately retained to do so by both parties in writing.

9. WARRANTIES AND DISCLAIMERS

All livestock listed for sale through the Stocklink platform are offered and sold on an “AS IS,” “WHERE IS,” and “WITH ALL FAULTS” basis. Unless explicitly stated in writing within the seller’s listing or a mutually signed agreement, neither Stocklink nor the Seller makes any express or implied warranties regarding the health, condition, merchantability, or suitability of livestock for any specific use.

No Guarantee or Representation

Except as expressly included in a written listing, communication, or contract between buyer and seller, no party warrants that livestock:

  • Are free from disease, injury, illness, parasites, or genetic defects;
  • Are pregnant, fertile, or reproductively sound, even if labeled as “bred,” “open,” or “exposed”;
  • Will meet particular production, growth, breeding, or resale performance standards;
  • Will be accepted for slaughter, transport, resale, or entry into any specific regulatory or livestock program.

Sellers may include representations within their listings, but Stocklink is not responsible for verifying or enforcing those terms unless otherwise agreed to in writing.

Stocklink Disclaims All Warranties

Stocklink makes no warranties of any kind, including but not limited to:

  • Implied warranties of merchantability or fitness for a particular purpose;
  • Warranties based on trade usage, prior dealings, or industry norms;
  • Warranties of title, non-infringement, or lien-free status (unless explicitly stated by the seller).

Stocklink does not inspect livestock, confirm seller claims, or guarantee the outcome of any transaction facilitated through the platform.

Buyer Due Diligence

It is solely the buyer’s responsibility to conduct all appropriate due diligence prior to committing to a purchase. This includes:

  • Carefully reviewing listing descriptions, photographs, and any posted documents (e.g., CVIs, test results);
  • Contacting the seller directly to request additional information or ask clarifying questions;
  • Arranging third-party veterinary inspection or testing, if permitted by the seller and feasible prior to purchase or pickup.

Buyers assume all risks associated with failing to inspect or investigate livestock before completing a transaction.

Platform Materials and Limitations

Descriptions, photos, videos, and other listing materials are provided by sellers or third parties and are offered for informational purposes only. Stocklink does not guarantee the accuracy, completeness, or reliability of this content and shall not be liable for errors, omissions, or buyer reliance on any such materials.

While Stocklink may host, format, or present this content, the responsibility for its accuracy rests entirely with the seller.

No Reliance on Stocklink Representations

By using the platform, buyers expressly acknowledge that they are not relying on any statements, representations, or assurances from Stocklink or its representatives regarding any livestock listing. Only those terms and disclosures made in writing by the seller or expressly included in a signed agreement may be relied upon in a transaction.

Ongoing Effect of Disclaimers

All disclaimers and warranty limitations stated in this section survive the transfer of title and delivery of livestock and continue to apply throughout any subsequent resale, use, or handling by the buyer or any third party.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Stocklink LLC and its affiliates, officers, directors, employees, contractors, agents, representatives, and service providers (collectively, the “Stocklink Parties”) shall not be liable to any user, including buyers, sellers, or third parties, for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to your use of the Stocklink platform. This includes, without limitation, damages related to:

  • Lost profits or missed business opportunities;
  • Loss of goodwill, marketability, or commercial use;
  • Livestock depreciation, illness, injury, or mortality;
  • Reputational harm or business interruption;
  • Data loss, platform downtime, or system unavailability;

regardless of the theory of liability asserted, including breach of contract, tort (including negligence), warranty, strict liability, or statutory claims, even if Stocklink was advised of the possibility of such damages.

Platform-Specific Risk Acknowledgment

This limitation applies to any issue arising from or related to:

  • Use of, or inability to use, the Stocklink platform or Services;
  • Any listing, purchase, sale, or other transaction initiated through the platform;
  • The condition, health, legality, or transportability of any livestock listed or transferred through the platform;
  • Errors, omissions, delays, or interruptions in the operation or functionality of the platform;
  • Any third-party transport, regulatory compliance, or legal issue related to user transactions.

Maximum Liability Cap

In all circumstances, the total cumulative liability of the Stocklink Parties for any claim, dispute, or cause of action relating to this Agreement or your use of the platform shall not exceed the total amount of fees actually paid by you to Stocklink during the twelve (12) months immediately preceding the event giving rise to the claim.

If you have not paid any fees to Stocklink, your sole remedy is to discontinue use of the platform.

Essential Basis of the Bargain

These limitations of liability are fundamental to the business relationship between Stocklink and its users. Without them, the Services could not be offered at their current cost or structure. These limitations shall apply even if a remedy is deemed to have failed of its essential purpose.

State Law Notice

Certain states or jurisdictions do not permit limitations on implied warranties or the exclusion or limitation of certain types of damages. In such cases, the foregoing limitations shall apply only to the maximum extent permitted by the laws of the State of Oklahoma and any applicable federal law.

11. TECHNOLOGY LIMITATIONS AND INTERRUPTIONS

Stocklink provides a digital platform that enables users to list livestock for sale and communicate with one another to negotiate, arrange, and complete transactions independently. Stocklink does not operate as an auctioneer, agent, or intermediary in any transaction. It does not validate pricing, determine sale terms, or declare winners of any bidding process.

Negotiation-Based Sales

All listings on the Stocklink platform constitute invitations to negotiate and do not represent binding offers. Users may submit inquiries, negotiate terms, and reach independent agreements outside of the platform’s oversight. Stocklink does not participate in or enforce the terms of these negotiations.

Transaction Disputes

Any dispute arising from the negotiation, sale, or delivery of livestock is solely between the buyer and the seller. Stocklink is not responsible for:

  • Resolving disagreements regarding pricing, pickup arrangements, or condition of livestock;
  • Enforcing payment or performance under any user agreement;
  • Providing arbitration, legal advice, or contract interpretation services.

Users are solely responsible for maintaining documentation of all transaction communications and agreements.

Reporting Misconduct

Stocklink encourages users to report suspected fraud, harassment, or abusive behavior. While Stocklink is not responsible for mediating disputes, it may, at its discretion, take administrative action, including:

  • Suspending or banning user accounts;
  • Removing listings that appear misleading or unlawful;
  • Cooperating with law enforcement or regulatory agencies where required.

No Platform Liability

By using the Stocklink marketplace, you acknowledge that all transactions are user-directed and that Stocklink bears no liability for the actions, representations, or omissions of other users.

12. BID DISPUTES AND AUCTIONEER AUTHORITY

While Stocklink does not participate in negotiations, pricing, or the formation of contracts between users, it reserves the right to monitor platform activity for compliance with these Terms and to protect the integrity of the marketplace. Stocklink may, in its sole discretion:

  • Remove or restrict listings that appear misleading, fraudulent, or in violation of law or platform policies;
  • Suspend or terminate user accounts engaged in deceptive, abusive, or disruptive conduct;
  • Limit or restrict messaging privileges where necessary to prevent spam, harassment, or solicitation;
  • Post platform announcements, clarifications, or warnings to protect users or correct misinformation.

Stocklink's administrative decisions regarding platform access, content removal, or policy enforcement are final and not subject to appeal.

No Liability for Transaction Errors or Communication Delays

Because Stocklink does not control the negotiation or execution of user-to-user transactions, it is not liable for:

  • Missed communications, offers, or replies due to connectivity issues or user error;
  • Delayed or failed messaging caused by device, browser, or app incompatibility;
  • Disputes over timing, priority, or outcome of private offers or discussions.

Users are solely responsible for ensuring accurate, timely, and secure communication when engaging in livestock transactions on the platform.

Misconduct and Marketplace Disruption

To ensure a safe and lawful digital environment, Stocklink prohibits:

  • Misrepresentation of livestock details, pricing, ownership, or availability;
  • Attempts to manipulate listing visibility or undermine competing users;
  • Harassment, threats, or bad-faith conduct during messaging or negotiation;
  • Use of bots, scrapers, or unauthorized automation to interfere with the platform.

Violations may result in warning, suspension, account termination, or referral to legal authorities, depending on severity.

No Auction Authority

Stocklink does not manage or oversee auctions. It does not:

  • Collect, validate, or enforce bids;
  • Declare winning offers;
  • Set or enforce timeframes for buyer/seller acceptance.

All transaction terms must be independently agreed upon by the users involved. Stocklink’s role is limited to providing the technological infrastructure for listings and user interaction.

13. LISTING REMOVAL, AVAILABILITY, AND PLATFORM MODERATION

Seller-Initiated Listing Removal

Sellers may remove a livestock listing from the Stocklink platform at any time, provided that:

  • The livestock in question has not already been committed to a transaction or pickup arrangement;
  • The removal does not form part of a repeated pattern of listing and cancellation that disrupts marketplace reliability;
  • The seller promptly communicates with any affected parties if negotiations were ongoing.

Stocklink encourages sellers to update or deactivate listings as soon as livestock becomes unavailable or sold through other channels.

Repeated or Disruptive Listing Cancellations

Stocklink may monitor seller behavior and take corrective action, including warnings, listing limits, or account suspension, if a seller engages in repeated or disruptive posting-and-removal activity. Examples include:

  • Frequently removing listings without explanation;
  • Failing to notify buyers after confirming availability;
  • Creating a misleading impression of livestock availability.

Platform-Initiated Listing Removal

Stocklink reserves the right to remove or disable any listing at any time, with or without notice, under the following circumstances:

  • The listing contains inaccurate, misleading, or fraudulent information;
  • Required documentation (e.g., ownership, health, or brand documentation) is incomplete, false, or unverifiable;
  • The seller fails to comply with platform policies, industry standards, or applicable law;
  • The listing poses a risk to animal welfare, user safety, or regulatory compliance.

Stocklink retains sole discretion in determining whether a listing should be removed and will act to preserve the platform’s integrity and the user experience.

No Compensation for Platform-Initiated Removal

Sellers are not entitled to compensation, refund, or platform credit for any listing removed by Stocklink due to violations of these Terms, suspected misconduct, or protective action taken for regulatory or legal reasons.

Listing Order and Visibility Adjustments

To improve user experience, platform performance, or animal handling considerations, Stocklink may:

  • Adjust listing display order or categorization;
  • Modify how or where a listing appears on the site;
  • Group or separate listings for visibility or sorting purposes.

These adjustments may occur without seller notice or approval and do not impact the enforceability of a listing or the seller's responsibility for content accuracy.

14. INTELLECTUAL PROPERTY AND CONTENT RIGHTS

All media, technology, and content displayed on or associated with the Stocklink platform are protected by intellectual property laws and are the exclusive property of Stocklink LLC, its licensors, partners, or content contributors. Use of the platform does not grant any license or right to use Stocklink’s proprietary materials, except as expressly provided in this Agreement.

"Platform Content" includes, but is not limited to:

  • Livestock promotional images or videos hosted or produced by Stocklink;
  • Website layouts, listing formats, search filters, and interface elements;
  • Data compilations, analytics, and price trend tools;
  • Text descriptions, educational materials, and help content created by or for Stocklink.

You may not reproduce, distribute, modify, republish, or exploit Platform Content for any commercial purpose without prior written authorization.

User-Provided Content License

By uploading or submitting any content to the Stocklink platform, such as livestock descriptions, photos, videos, logos, or related materials, you grant Stocklink a non-exclusive, royalty-free, worldwide, transferable license to:

  • Display, reproduce, and distribute your content through the platform;
  • Promote your listings through Stocklink’s marketing channels and social media;
  • Share your content with third-party service providers to support listing visibility and transaction facilitation.

You represent and warrant that you have the legal rights to submit such content and that it does not infringe the intellectual property, publicity, or privacy rights of any third party.

Restrictions on Content Use

Users may not:

  • Scrape, download, rehost, or commercially republish content from Stocklink without express written permission;
  • Copy the visual layout, wording, or design of Stocklink’s listing formats or site infrastructure;
  • Use automated tools to harvest data or media from the platform.

Unauthorized use may result in suspension, termination, or legal enforcement.

Stocklink Marks and Branding

All Stocklink logos, service marks, trade dress, and brand elements are protected under applicable trademark and unfair competition laws. Users may not display or use Stocklink branding without prior written approval.

Enforcement Rights

Stocklink reserves the right to:

  • Monitor platform activity for IP rights violations;
  • Issue takedown requests, cease-and-desist letters, or infringement notices;
  • Pursue injunctive relief, monetary damages, or other legal remedies for unauthorized use of its proprietary content or branding.

15. COMMUNICATIONS AND TEXT NOTIFICATIONS

By creating an account, listing livestock, sending inquiries, or otherwise using the Stocklink platform, you consent to receive both transactional and promotional communications from Stocklink and its affiliates through electronic means. Communications may be delivered via email, SMS/text message, push notifications, or in-platform messaging.

Transactional Communications

These messages are necessary for the operation of the platform and the facilitation of user-to-user transactions. They may include:

  • Listing confirmations and updates;
  • Buyer or seller inquiries and response alerts;
  • Payment, delivery, or pickup coordination messages;
  • Platform updates or policy change notifications.

You may not opt out of transactional communications without deactivating your Stocklink account, as doing so may impair your ability to use core features of the platform.

Promotional Communications

These optional communications may include:

  • Announcements of new features, tools, or livestock categories;
  • Invitations to webinars, community events, or educational content;
  • Platform marketing, news updates, or partner promotions.

You may opt out of promotional communications at any time by:

  • Clicking the “unsubscribe” link included in emails;
  • Following opt-out instructions in text messages;
  • Adjusting your communication preferences in your Stocklink account settings.

Message Rates and Carrier Limitations

Standard text messaging and data rates may apply depending on your mobile service provider. Stocklink is not responsible for SMS fees, carrier filtering, or delivery delays.

Limitations of Opt-Outs

Please note that opting out of certain messages may limit platform functionality or result in missed time-sensitive communications, such as inquiries about your listings or changes to delivery arrangements. Stocklink shall not be liable for any consequences resulting from opt-out choices.

Consent Duration

Your consent to receive electronic communications will remain in effect until:

  • You withdraw it in writing;
  • You deactivate or delete your Stocklink account; or
  • Your relationship with Stocklink otherwise ends in accordance with these Terms.

16. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement, and any dispute, claim, or controversy arising out of or related to your use of the Stocklink platform or participation in any transaction facilitated by Stocklink, shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law principles.

Mandatory Arbitration

To the fullest extent permitted by law, any and all disputes, claims, controversies, or causes of action, whether in contract, tort, statute, equity, or otherwise, arising out of or relating to:

  • These Terms and Conditions;
  • Any sale or purchase facilitated through the platform;
  • Your use of or access to the Stocklink platform or its services;
  • Any representations, statements, or omissions by Stocklink or its affiliates;

shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect.

Venue and Jurisdiction

Unless otherwise agreed in writing by all parties, arbitration shall be conducted in Oklahoma County, Oklahoma. The proceedings shall be confidential, and the arbitrator’s decision shall be final, binding, and enforceable in any court of competent jurisdiction.

Fees and Costs

Each party shall bear its own attorneys’ fees, expert witness fees, and arbitration costs, unless otherwise awarded by the arbitrator in accordance with applicable law or AAA rules.

Class Action Waiver

All disputes shall be resolved on an individual basis only. By using the Stocklink platform, you expressly waive the right to:

  • Bring or participate in any class action, class arbitration, or representative proceeding;
  • Consolidate claims with those of any other user or third party in arbitration.

Equitable Relief

Nothing in this section prevents Stocklink from seeking temporary or permanent injunctive relief, specific performance, or other equitable remedies in a court of competent jurisdiction to:

  • Protect its intellectual property and proprietary materials;
  • Prevent unauthorized access to or misuse of the platform;
  • Maintain the security and lawful operation of its services.

This exception does not waive the requirement to arbitrate all other disputes.

17. MODIFICATIONS, SEVERABILITY, AND ENTIRE AGREEMENT

Right to Modify Terms

Stocklink reserves the right, in its sole discretion and without prior notice, to update, revise, modify, supplement, or otherwise amend these Terms and Conditions at any time. Any such modifications will take effect immediately upon posting on the Stocklink website or digital platform, unless a later effective date is expressly indicated.

Stocklink may, but is not obligated to, provide notice of material changes through email, platform notifications, or other reasonable means of communication. However, it remains your responsibility to regularly review the Terms and Conditions to stay informed of any changes that may affect your rights or obligations.

Modifications may include, without limitation:

  • Changes to platform functionality, features, or user eligibility requirements;

Your continued access to or use of the Stocklink platform following the posting of updated Terms shall constitute your binding acceptance of such changes. If you do not agree to the revised Terms, your sole and exclusive remedy is to discontinue use of the Services and close your account. It is your responsibility to monitor for updates and determine whether continued use aligns with your legal rights and business objectives.

Severability

If any provision or portion of these Terms is determined to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remainder of the Terms shall remain in full force and effect. Entire Agreement

These Terms and Conditions, together with any supplemental terms posted within specific sections of the platform (e.g., listing policies, content guidelines, or dispute protocols), individual transaction agreements, and any documents expressly incorporated herein by reference, constitute the entire agreement between you and Stocklink.

They supersede all prior or contemporaneous oral or written agreements, understandings, representations, warranties, or communications between you and Stocklink concerning the use of the platform and related services.

No oral or written statement by any Stocklink employee, agent, or representative shall modify or contradict these Terms unless expressly agreed to in writing by an authorized officer of Stocklink.

No Waiver

Any failure or delay by Stocklink to enforce any provision of these Terms shall not operate as a waiver of that provision or any other rights it may have under law or equity. No waiver of any term shall be deemed a continuing waiver or a waiver of any other provision or breach.

19. ADDITIONAL TERMS AND DISCLAIMERS

Stocklink operates solely as a neutral, third-party digital marketplace and technology platform. It does not act as an agent, broker, intermediary, escrow service, or guarantor for any transaction, nor does it represent either party in any livestock sale or listing.

Stocklink does not take title to, physically possess, inspect, or control any livestock listed for sale on the platform. All sales, negotiations, communications, and contractual terms are established directly between buyers and sellers, and Stocklink does not participate in or verify these arrangements.

Stocklink makes no warranties or representations concerning:

  • The identity, trustworthiness, or legal capacity of users;
  • The quality, health, condition, transport eligibility, or regulatory compliance of any listed livestock;
  • The truthfulness or completeness of any user-submitted information or listing materials;
  • The success, completion, or enforceability of any transaction facilitated through the platform.

All disputes, payment obligations, delivery arrangements, and liability issues are the sole responsibility of the parties involved in the transaction.

Third-Party Content and Data Disclaimer

All livestock listings, descriptions, images, documents, and videos are submitted by sellers and remain their sole responsibility. Stocklink does not independently verify, review, audit, or warrant the accuracy or legitimacy of this content.

Buyers are strongly encouraged to perform their own due diligence prior to engaging in any transaction. This may include:

  • Requesting supporting documentation;
  • Confirming regulatory and health status;
  • Inspecting livestock prior to transport or finalizing purchase terms.

Stocklink disclaims any liability for errors, misstatements, omissions, or misleading information contained in user-generated content. Platform access is provided on an “as-is,” “as-available” basis, and users proceed at their own risk.

Arbitration Opt-Out Procedure

If you do not wish to be bound by the arbitration provision in Section 16 of these Terms, you may opt out by submitting a written notice within thirty (30) calendar days of creating your Stocklink account.

Your opt-out notice must include:

  • Your full legal name;
  • The email address associated with your Stocklink account;
  • A clear statement that you wish to opt out of mandatory arbitration;

20. USER CONDUCT CLAUSE

Prohibited Conduct and System Integrity

Users of the Stocklink platform must not engage in any activity that interferes with, disrupts, compromises, or gains unauthorized access to the platform, its systems, or other users. This includes all attempts, direct or indirect, to manipulate platform performance, extract protected data, or circumvent platform safeguards.

Prohibited conduct includes, but is not limited to:

  • Reverse engineering, scraping, indexing, harvesting, or mining user data, livestock listing data, or pricing information;
  • Using bots, scripts, or other forms of automation to post, monitor, or interact with content outside of permitted use;
  • Attempting to gain unauthorized access to user accounts, data repositories, or back-end systems;
  • Impersonating other users or falsifying account credentials;
  • Uploading, distributing, or embedding malicious code, phishing links, spam, or unauthorized advertising;
  • Exploiting vulnerabilities or platform logic in a way that undermines fair access, trust, or the accuracy of listings or interactions;
  • Violating any applicable laws or engaging in conduct that infringes upon Stocklink’s or any third party’s intellectual property, privacy, or proprietary rights.

Violations of this policy may result in immediate suspension or permanent termination of platform access and may subject violators to civil or criminal prosecution. Stocklink reserves the right to take appropriate technical or legal action without prior notice.

AI and Automated Tools Disclaimer

To assist users, Stocklink may offer optional features such as AI-generated livestock summaries, pricing insights, regulatory checklists, or other automated tools. These features are provided on an “as-is,” “as-available” basis and are intended for informational purposes only.

Stocklink does not guarantee the accuracy, reliability, or suitability of these tools for any specific transaction or regulatory requirement. Users are solely responsible for conducting their own due diligence, obtaining independent veterinary or legal advice, and verifying any platform-suggested information before acting on it.

Stocklink disclaims any liability for errors, misstatements, or harm resulting from reliance on such tools.

Prohibited Use and Anti-Trafficking Policy

Stocklink prohibits the use of its platform, services, communications tools, or related transport activities for any illegal, exploitative, or harmful purposes. You may not use Stocklink directly or indirectly in connection with:

  • The trafficking, concealment, or distribution of controlled substances, precursor chemicals, or illegal drugs;
  • The transportation, movement, or exploitation of persons, including forced labor, human smuggling, or trafficking;
  • The concealment or movement of contraband, stolen goods, weapons, or prohibited items;
  • The falsification or misuse of livestock documentation, health certificates, transport records, or ownership declarations for deceptive or unlawful purposes;
  • Using livestock transactions or transport events as cover for criminal activity, including organized crime, regulatory evasion, or money laundering schemes.

Stocklink enforces a “report suspicion first, ask questions later” policy and may, at its discretion, immediately suspend or terminate any account, listing, or user suspected of such activity, without notice or refund.

Full Cooperation with Law Enforcement

Stocklink will fully cooperate with federal, state, and local law enforcement agencies, regulatory authorities, and investigative bodies. This includes, but is not limited to:

  • Preserving and producing user account data, communications, listings, transport logs, or transaction records;
  • Responding to lawful subpoenas, warrants, or data preservation requests;
  • Participating in cross-agency investigations into suspected illegal activity;
  • Proactively reporting suspected violations of agricultural, transport, animal welfare, or criminal statutes, even absent formal requests.

Any violation of this section constitutes a material, non-curable breach of this Agreement and may result in permanent exclusion from the platform, civil liability, criminal exposure, and forfeiture of access rights.

Users agree that Stocklink is under no obligation to provide notice, refunds, or reinstatement when violations are suspected or confirmed.

Reporting Suspected Activity

If you become aware of suspicious, abusive, or potentially unlawful conduct involving livestock transport, platform use, or communications, please report it immediately to:
